1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and DOSYA PTY LTD (ABN 27 700 842 235), an Australian company operating as dosya.dev ("we," "us," or "our"), governing your access to and use of the dosya.dev website, platform, APIs, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Where local law sets a higher minimum age for digital services than 16, that higher age applies. A lower local minimum does not lower ours: 16 is the floor everywhere, and it is the age enforced at sign-up.

3. Account Registration and Security

  • You must provide accurate, current, and complete information during registration and keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.
  • You must immediately notify us at security@dosya.dev if you suspect any unauthorized use of your account or any other breach of security.
  • You may not share your account credentials with any third party or allow others to access the Service through your account.
  • We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, outdated, or incomplete.
  • You may not create more than one free account. We reserve the right to merge or terminate duplicate accounts.

4. Description of Service

dosya.dev provides a cloud-based platform for file transfer, storage, and sharing across 46 global server regions. The Service includes but is not limited to:

  • File Upload and Storage: Upload and securely store files on our distributed infrastructure.
  • File Transfer: Transfer files between regions and share files with others via secure links.
  • Workspace Management: Organize files into workspaces and folders with granular access controls.
  • API Access: Programmatic access to the Service through our documented APIs, subject to plan limitations and published rate limits.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

5. Plans, Pricing, and Payments

5.1 Subscription Plans

The Service is offered under various subscription plans, including free and paid tiers. Each plan has specific storage limits, transfer quotas, feature availability, and usage restrictions as described on our pricing page. We reserve the right to modify plan features and pricing with 30 days' prior notice.

5.2 Billing and Payment

  • Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select.
  • All fees are stated in US dollars unless otherwise specified and are exclusive of applicable taxes.
  • Payment is due at the start of each billing period. Failure to pay may result in suspension or downgrade of your account.
  • We use third-party payment processors to handle transactions. Your payment information is subject to the processor's terms and privacy policy.

5.3 Refunds and Right of Withdrawal

14-day money-back guarantee. Every paid plan and storage package, monthly or yearly, comes with a 14-day money-back guarantee. If you ask for a refund within 14 days of a payment, including a renewal payment, we refund that payment in full. You do not need to give a reason. To ask, contact us at support@dosya.dev or through the contact form from the email address on your account. Refunds go back to the original payment method, usually within 5 to 10 business days depending on your bank. Once a payment is refunded, the plan it paid for ends and your account returns to Free limits; nothing is deleted, and files above the Free limit stay accessible and downloadable. Packages bought through a reseller such as Gumroad are refunded through that reseller within the same 14 days.

After the 14-day window, fees are non-refundable except as required by applicable law. If you cancel a paid subscription, you will continue to have access to the paid features until the end of your current billing period, and no partial refunds or credits will be issued for unused time after the 14-day window. We may decline a refund where the guarantee is being abused, such as repeated purchase-and-refund cycles, or where the account was terminated for a severe violation of the Acceptable Use Policy.

If you are located in the European Union or the European Economic Area, you also have a statutory right to withdraw from a purchase within 14 days of the transaction under the Consumer Rights Directive. That right permits us to deduct a proportionate amount for service already provided. Our 14-day money-back guarantee above is deliberately more generous than the statutory minimum and we apply it first: within 14 days of a payment you get that payment back in full, with no deduction for usage, whether you invoke the guarantee or the statutory right. The statutory right is described here because it exists, not because it produces a smaller refund in practice.

5.4 Free Plan Limitations

Free accounts are subject to storage and transfer limits as described on our pricing page. We do not currently delete accounts or files for inactivity. If that changes we will give at least 30 days' notice by email.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Upload, store, transfer, or share any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Distribute malware, viruses, worms, trojans, ransomware, or any other malicious code or software.
  • Infringe upon the intellectual property rights, privacy rights, or other rights of any third party, including distributing copyrighted material without authorization.
  • Store or distribute child sexual abuse material (CSAM). We have zero tolerance for CSAM and will report any instances to the appropriate authorities.
  • Engage in phishing, spam, or any form of unsolicited or unauthorized communication.
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service.
  • Use the Service to mine cryptocurrency, run compute workloads unrelated to file storage/transfer, or for any purpose other than its intended use.
  • Circumvent, disable, or interfere with any security features, rate limits, storage quotas, or usage restrictions of the Service.
  • Use automated tools (bots, scrapers, crawlers) to access the Service in a manner that exceeds reasonable use or places undue burden on our infrastructure, except through our documented APIs within published rate limits.
  • Resell, redistribute, or sublicense the Service or any part thereof without our prior written consent.
  • Use the Service to violate any applicable local, national, or international law or regulation.

We reserve the right to investigate and take appropriate action against any violations, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

7. Export Controls and Sanctions Compliance

The Service is subject to export control and sanctions laws of the United States and other applicable jurisdictions. You represent and warrant that:

  • You are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
  • You are not listed on any U.S. government restricted parties list, including the Specially Designated Nationals (SDN) list maintained by the Office of Foreign Assets Control (OFAC).
  • You will not use the Service in violation of any applicable export control or sanctions laws.

We reserve the right to restrict or block access to the Service from sanctioned countries or regions without prior notice.

8. User Content

8.1 Ownership

You retain all ownership rights to the files and content you upload to the Service ("User Content"). dosya.dev does not claim any ownership over your User Content.

8.2 License Grant

By uploading User Content, you grant dosya.dev a limited, non-exclusive, worldwide, royalty-free license to host, store, transfer, display (to you and those you share with), reproduce (for backup and redundancy purposes), and process your User Content solely to the extent necessary to provide and improve the Service. This license terminates when you delete your User Content or close your account.

8.3 Your Responsibilities

You are solely responsible for your User Content, including ensuring that it does not violate any laws, infringe any third-party rights, or breach these Terms. You represent and warrant that you have all necessary rights and permissions to upload and share your User Content.

8.4 Content Moderation

We do not scan the contents of your private files. We act on abuse reports and legal notices, and we reserve the right, but have no obligation, to remove User Content that violates these Terms or applicable law.

9. Intellectual Property

The Service, including its original content (excluding User Content), features, functionality, design, logos, trademarks, and source code, is and remains the exclusive property of dosya.dev and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software, unless applicable laws prohibit these restrictions or you have our written permission. This restriction does not apply to components we publish under their own licence. Where we distribute software under a separate licence - our official SDKs under the MIT License, and the web app, desktop client, CLI, status page and shared packages under the Dosya Source Available License 1.0 - that licence governs what you may do with that component, and it prevails over this section to the extent of any inconsistency.

10. Copyright Infringement (DMCA)

We respect the intellectual property rights of others. If you believe that any content hosted on dosya.dev infringes your copyright, please submit a DMCA takedown notice to our designated agent with the following information:

  • A description of the copyrighted work you claim has been infringed.
  • A description of where the infringing material is located on the Service (e.g., a URL or file link).
  • Your contact information (name, address, phone number, and email).
  • A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
  • A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
  • Your physical or electronic signature.

Repeat infringers will have their accounts terminated.

11. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you acknowledge the collection and use of your information as described in the Privacy Policy.

11.1 International Data Transfers

The Service operates across 46 global regions. By using the Service, you acknowledge that your User Content and personal data may be transferred to, stored in, and processed in countries other than your country of residence, including the United States and other jurisdictions where our servers are located.

Where required by applicable law (including the EU General Data Protection Regulation), we rely on appropriate legal mechanisms for international data transfers, such as Standard Contractual Clauses (SCCs) approved by the European Commission, adequacy decisions, or other lawful transfer mechanisms. For more details on how we handle international transfers, please refer to our Privacy Policy.

12. Third-Party Services and Links

The Service may integrate with or contain links to third-party services, websites, or applications that are not owned or controlled by dosya.dev. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to those services' terms and conditions.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, DOSYA.DEV DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.
  • WARRANTIES THAT ANY FILES STORED OR TRANSFERRED THROUGH THE SERVICE WILL NOT BE LOST, CORRUPTED, OR COMPROMISED.

You acknowledge that you use the Service at your sole risk. We strongly recommend maintaining independent backups of all important files.

Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable law, including consumer protection laws in your jurisdiction.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOSYA.DEV, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • Loss of profits, revenue, data, or business opportunities.
  • Loss of or damage to files, data, or content stored on or transferred through the Service.
  • Cost of procurement of substitute services.
  • Unauthorized access to or alteration of your transmissions or data.
  • Any other intangible losses.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DOSYA.DEV IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless dosya.dev, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or any activity under your account.
  • Your User Content, including any claims that your content infringes third-party rights.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any rights of any third party.

This indemnification obligation does not apply where prohibited by law, including in certain EU member states where blanket indemnification clauses in consumer contracts are unenforceable.

16. Termination

16.1 Termination by You

You may terminate your account at any time by navigating to your account settings and selecting "Delete Account," or by contacting us at support@dosya.dev. Upon termination, your right to use the Service ceases immediately.

16.2 Termination by Us

We may suspend or terminate your account and access to the Service for any reason, including but not limited to:

  • Breach of these Terms or our Acceptable Use Policy.
  • Non-payment of fees.
  • Requests by law enforcement or government agencies.
  • Discontinuation of the Service or any part thereof.

These notice periods cover three different events and should not be confused with one another. Terminating an individual account for a terms violation: for free accounts, and for severe violations of the Acceptable Use Policy, we may terminate without prior notice; for paid accounts otherwise, we give at least 14 days' notice and a pro-rated refund for any unused portion of a prepaid billing period. Withdrawing a plan, or changing its price or features: at least 30 days' notice, as set out in the Subscription Plans section. Discontinuing the Service or a material part of it: at least 30 days' notice, as set out below.

16.3 Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability. You remain liable for any fees incurred prior to termination.

16.4 Data Retention After Termination

When you delete your account, your files are permanently deleted within 30 days. When an account is terminated for a terms violation, three things happen at different times and are worth separating. Access to the offending content is restricted immediately, and for illegal distribution the content stops being reachable the moment we act on it. The account is suspended immediately. The underlying data is retained for 14 days before deletion, and during that window you can request a copy of your data and appeal the decision at support@dosya.dev. The only exception to that retention window is content we are legally required to remove or preserve differently, such as child sexual abuse material. After deletion, your data cannot be recovered.

17. Service Availability and Modifications

We strive to maintain high availability across all 46 regions but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

We reserve the right to modify, update, or discontinue features of the Service at any time. If we discontinue a material feature or the entire Service, we will provide at least 30 days' notice and allow you to download your files before termination.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. If you are a consumer in the European Union, you will also benefit from any mandatory provisions of the law of the country in which you are resident.

18.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

Notwithstanding the above, either party may bring a claim in small claims court in their jurisdiction if the dispute qualifies, and nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

If you are located in the European Union, you may also contact your national consumer body or an alternative dispute resolution entity. The European Commission's Online Dispute Resolution platform, which these Terms previously referred to, was discontinued on 20 July 2025; the Commission now maintains a consumer redress directory at https://consumer-redress.ec.europa.eu/.

18.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against dosya.dev. This waiver does not apply where prohibited by the laws of your jurisdiction.

19. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and dosya.dev regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
  • Force Majeure: dosya.dev shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, labor disputes, government actions, power failures, Internet disturbances, or cyberattacks.
  • Notices: We may provide notices to you via email to the address associated with your account, through in-app notifications, or by posting on our website. You may provide notices to us by emailing legal@dosya.dev.
  • Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.

20. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and, for material changes, notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.
